
Mr. Cummings has represented clients for over 25 years in
a wide variety of corporate affairs, including choice of business
entity and formation, dissolution, complex mergers and acquisitions,
leveraged buy-outs, joint ventures, public and private offerings
of securities and other equity interests, sales and purchases
of businesses, lending and financing arrangements, venture capital,
trademark and copyright licensing agreements, and other commercial
transactions. These have involved both publicly and privately
owned entities and have included family held and Fortune 500
clients.
He has represented clients in a wide variety of fields, including
retail department stores, medical services, import/export, printing,
interactive digital services for the hospitality industry and
manufacturing of a wide variety of products from polished diamonds
to printed circuit boards. Mr. Cummings has also represented
individuals in connection with executive employment and compensation,
service on boards of directors and as an officer, consultancy
arrangements and other business and personal matters. He also
has represented individuals and companies in connection with
employment related matters, including resolution of significant
sex discrimination and sexual harassment claims.
Early in his career, he was significantly involved in the formation
of the Municipal Assistance Corporation of The City of New York,
the state agency established in connection with the New York
City financial crisis in the 1970s, as well as the drafting
and passage of the New York City debt moratorium law that was
instrumental in resolving that crisis. He joined our firm in
1980 after practicing with the New York City law firm of Paul
Weiss Rifkind Wharton & Garrison following his graduation
from law school in 1973.
Mr. Cummings graduated magna cum laude from Dartmouth College
prior to receiving his J.D. from The University of Pennsylvania
Law School, where he was on the Law Review.
